Welcome to Thryvnow. These Terms and Conditions ("Terms") govern your access to and use of our platform, including our website, mobile applications, and all related services (collectively, the "Service").
By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.
The Service is owned and operated by Thryvnow, a company committed to empowering local businesses and generating employment within Manipur, India. These Terms constitute a binding agreement between you ("User," "you," or "your") and Thryvnow ("Thryvnow," "we," "us," or "our").
1.1 Account Registration: To access the full range of Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
1.2 Eligibility: The Service is intended for individuals who are at least 18 years of age and can form legally binding contracts under the Indian Contract Act, 1872. By using the Service, you represent and warrant that you meet this requirement.
1.3 Account Security: You are solely responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
1.4 Business Conduct: You agree to use the Service in good faith and in a manner that supports Thryvnow's mission of empowering local artisans and entrepreneurs in Manipur. Prohibited activities include, but are not limited to, fraudulent transactions, selling illegal goods, and any misuse of the platform.
Thryvnow provides an all-in-one platform that includes the following services:
2.1 Ecommerce Platform: We offer tools for you to build and manage your own online store, including product listings, inventory management, and a payment gateway. We are an intermediary and are not a party to the direct sale transaction between you and your customers.
2.2 Local Delivery Logistics: We facilitate local delivery by providing a system for you to manage and dispatch your own delivery personnel or connect with our network of independent third-party delivery partners. You acknowledge that these partners are independent contractors and not employees of Thryvnow.
2.3 Live Order Tracking: The Service includes a feature that allows your customers to track their order's delivery status in real-time.
3.1 Fees: The use of the Service may be subject to various fees, including, but not limited to, subscription fees, transaction fees, and delivery commissions. You agree to pay all applicable fees in accordance with the payment terms provided to you.
3.2 Payment Processing: All payments are processed through secure third-party payment gateways. Thryvnow is not responsible for any issues or failures in the payment processing service.
3.3 Payouts: Funds from your sales will be transferred to your designated bank account as per the payout schedule specified on the platform.
4.1 Liability: You, as the seller, are solely responsible for the products you sell and their safe packaging. Thryvnow is not liable for any damage, loss, or theft of products during transit, unless such loss is a direct result of the gross negligence of a Thryvnow-managed delivery partner.
4.2 Delivery Partners: The delivery service is facilitated by a network of independent contractors. You are responsible for any agreements you enter into with them. Thryvnow's role is limited to providing the software and a network to connect businesses with delivery partners, thereby creating local employment opportunities.
4.3 Delivery Disputes: Any disputes regarding a delivery, including delayed or failed deliveries, must first be handled between you and the customer. Thryvnow may provide assistance in resolving such disputes but is not obligated to do so.
5.1 Our Rights: The Thryvnow platform, including its software, design, logos, and content, are the exclusive property of Thryvnow and its licensors. You may not use any of our intellectual property without our prior written consent.
5.2 Your Content: You retain ownership of all intellectual property rights in the content you upload to your store (e.g., product images, descriptions, and business logos). By using the Service, you grant Thryvnow a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute your content for the purpose of operating and promoting the Service.
The Service is provided on an "as is" and "as available" basis. Thryvnow disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, Thryvnow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business reputation, arising from your use of the Service. Our total liability to you for any and all claims shall not exceed the amount you paid to us in fees over the six (6) months prior to the event giving rise to the claim.
We may, in our sole discretion, suspend or terminate your account and access to the Service for any reason, including, without limitation, a breach of these Terms. You may terminate your account at any time by following the instructions on the platform.
These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms will be subject to the exclusive jurisdiction of the courts in Manipur, India.
Thryvnow reserves the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
